These Terms of Service (“Terms”) govern your access to and use of the website, applications, and online services operated by MTAYLORINC, a Nevada corporation (“MTAYLORINC,” “we,” “us,” or “our”) (collectively, the “Services”).
By accessing or using the Services, you agree to these Terms. If you do not agree, do not use the Services.
1) Eligibility
You must be at least 18 years old (or the age of majority in your jurisdiction) to use the Services. By using the Services, you represent that you meet these requirements.
2) Changes to the Services and Terms
We may modify the Services or these Terms from time to time. Changes are effective when posted, as indicated by the “Last Updated” date. Your continued use of the Services after changes become effective constitutes acceptance of the updated Terms.
3) Accounts, Login, and Security
If you create an account:
- You agree to provide accurate, current information and keep it updated.
- You are responsible for maintaining the confidentiality of your login credentials.
- You are responsible for all activity under your account.
- You must notify us immediately of any unauthorized access or security breach related to your account.
We may suspend or terminate accounts as described in Section 12.
4) Purchases, Billing, and Payments (Stripe)
If the Services include paid products or services:
- Prices, fees, and billing terms will be presented at checkout or in an order form.
- Payments are processed by Stripe or our designated payment processor. By making a purchase, you agree to Stripe’s terms and policies.
- You authorize us (and Stripe) to charge your chosen payment method for amounts due, including recurring charges if you select a subscription.
Subscriptions and renewals (if applicable):
- Subscriptions renew automatically unless canceled before the renewal date.
- You can cancel as described in the cancellation flow in your account settings or by contacting us at support@mtaylorinc.com.
Refunds:
- Refunds (if any) are governed by our posted refund policy or the terms presented at purchase: https://shop.mtaylorinc.com/terms-of-service/.
- If you do not offer refunds, replace with: “All sales are final, except where required by law.”
Chargebacks:
Initiating a chargeback or payment dispute without contacting us first may result in suspension of your account and access to the Services.
5) Acceptable Use
You agree not to:
- Use the Services for unlawful, harmful, or fraudulent purposes
- Violate or infringe others’ rights, including privacy and intellectual property rights
- Upload, transmit, or distribute malware or harmful code
- Attempt to gain unauthorized access to the Services, accounts, or systems
- Interfere with or disrupt the Services (e.g., denial of service, scraping at scale)
- Use automated means to access the Services except as permitted (e.g., via our documented APIs if applicable)
- Reverse engineer or attempt to derive source code from the Services except where permitted by law
6) User Content
“User Content” means content you submit, upload, post, or transmit through the Services (e.g., text, images, files, messages).
You retain ownership of your User Content, but you grant MTAYLORINC a worldwide, non-exclusive, royalty-free license to host, store, reproduce, modify, display, and distribute your User Content only as needed to operate, provide, and improve the Services and to comply with law.
You represent and warrant that:
- You have all rights necessary to submit User Content
- Your User Content does not violate law or third-party rights
We may remove or disable access to User Content in our discretion (e.g., for violations of these Terms).
7) Intellectual Property
The Services, including all content and materials provided by MTAYLORINC (excluding User Content), are owned by MTAYLORINC or its licensors and are protected by intellectual property laws.
You may not copy, modify, distribute, sell, lease, or create derivative works of the Services unless you have our written permission.
Trademarks: MTAYLORINC and related logos are trademarks of MTAYLORINC. You may not use them without our written permission.
8) Third-Party Services and Links
The Services may integrate with or link to third-party services (e.g., Stripe) or websites. We do not control and are not responsible for third-party services, and your use of them is governed by their terms and policies.
9) Privacy
Our collection and use of personal information are described in our Privacy Policy: https://www.mtaylorinc.com/privacy-policy/. By using the Services, you consent to the practices described there.
10) Disclaimer of Warranties
To the maximum extent permitted by law, the Services are provided “AS IS” and “AS AVAILABLE”. MTAYLORINC disclaims all warranties, express or implied, including implied warranties of merchantability, fitness for a particular purpose, title, and non-infringement.
We do not warrant that the Services will be uninterrupted, secure, error-free, or that defects will be corrected.
11) Limitation of Liability
To the maximum extent permitted by law:
- MTAYLORINC will not be liable for any indirect, incidental, special, consequential, or punitive damages, including loss of profits, revenue, data, or goodwill, arising out of or related to your use of (or inability to use) the Services.
- MTAYLORINC’s total liability for any claim arising out of or related to the Services will not exceed the greater of (a) the amount you paid to MTAYLORINC for the Services in the 12 months before the event giving rise to the claim, or (b) $100.
Some jurisdictions do not allow certain limitations, so these may not apply to you.
12) Suspension and Termination
We may suspend or terminate your access to the Services at any time if:
- You violate these Terms
- Your use creates risk or legal exposure for us or others
- We are required to do so by law
You may stop using the Services at any time. If you have an account, you may cancel it via account settings (if available) or by contacting us.
Sections that by their nature should survive termination will survive, including Sections 6–7 and 10–15.
13) Indemnification
You agree to indemnify, defend, and hold harmless MTAYLORINC and its officers, directors, employees, and agents from any claims, liabilities, damages, losses, and expenses (including reasonable attorneys’ fees) arising out of or related to:
- Your use of the Services
- Your User Content
- Your violation of these Terms or applicable law
- Your violation of any third-party rights
14) Governing Law and Venue
These Terms are governed by the laws of the State of Nevada, without regard to conflict of law rules.
Any dispute arising out of or related to these Terms or the Services will be brought exclusively in the state or federal courts located in Clark County, Nevada (or another Nevada county you choose), and you consent to personal jurisdiction and venue there.
15) Communications; Electronic Notices
You consent to receive communications from us electronically (e.g., email, in-app messages, postings on the Site). These communications satisfy any legal notice requirements.
16) Feedback
If you submit feedback or suggestions, you grant MTAYLORINC the right to use them without restriction or compensation.
17) Force Majeure
We are not liable for delays or failures to perform resulting from events beyond our reasonable control, including acts of God, natural disasters, power or internet outages, labor disputes, war, terrorism, or governmental actions.
18) Severability
If any provision of these Terms is found unenforceable, the remaining provisions will remain in full force and effect.
19) Entire Agreement
These Terms, together with any referenced policies (including the Privacy Policy) and any additional terms presented to you for specific Services, constitute the entire agreement between you and MTAYLORINC regarding the Services and supersede prior agreements.
